ABSTRACT.
The evolutions of the business practice to a more frequent utilisation of general standard terms have determined the emergence of special legal provisions aiming to solve the problems generated by this new reality as regards the formation and the content of contracts. It is the case for the Art. 1202(4) of the Romanian Civil Code, a text which imposes a modern solution to the battle of forms issue. Since the application of the traditional mirror image rule presents serious inconveniences when the parties are using general standard clauses (aspect approached in the first part of the article), the legislator took them into account and in 2011 he reacted by aligning the internal legal solutions to those largely followed in comparative and international law; the new rule – the elimination of the standard contradictory clauses / the knock out solution – is scrutinized in the second part of the article, which address in a more detailed manner the aspects of its application and functioning.

Résumé : Les évolutions enregistrées dans la pratique d’affaires vers l’utilisation de plus en plus fréquente, par les professionnels, des condition générales, ont déterminé l’apparition des dispositions légales spécifiques tendant à résoudre les problèmes générés par cette nouvelle réalité pour ce qui est de la formation et du contenu du contrat. C’est le cas de l’article 1202(4) C. civ. roumain, qui impose une solution moderne pour la bataille des conditions générales/battle of forms. La règle traditionnelle de la rencontre entre l’offre et l’acceptation concordante soulève des inconvénients sérieux lorsque les parties emploient des clauses standard (aspect abordé dans la première partie de l’article). Tenant compte de ceux-ci, le législateur roumain a décidé en 2011 de réagir, en s’alignant à un trend amplement observé en droit comparé et international; la nouvelle règle – l’élimination des clauses standard contradictoires ou le knock out – est analysée dans la seconde partie de l’article, qui détaille les aspects liés à son application et fonctionnement.
